1. Equal vs unequal splits

Equal (50/50) works when:

  • Both founders contribute equally (time, skills, capital)
  • You're starting at the same time
  • You're both full-time from day one

Unequal makes sense when:

  • One founder brings the idea, domain expertise, or network
  • One founder is part-time initially
  • One founder is investing significant capital

2. Vesting is non-negotiable

4-year vesting with 1-year cliff is standard:

  • You earn your equity over 4 years

  • After year 1, they get 25% and continue vesting monthly

Why: Protects you if a co-founder leaves early. Without vesting, they keep their full equity even if they quit.

3. India-specific considerations

  • Cliff: Some Indian founders skip the cliff. Don't. 1 year is standard.
  • Tax: ESOPs and equity grants have tax implications. Consult a CA for your structure.
  • Agreements: Get a founder agreement in writing. Even a simple one is better than nothing.
  • Family pressure: If a co-founder is under family pressure to "get a real job," vesting protects you.
